These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and bronclear ("Bank," "we," "us," or "our") governing your use of our banking services, including but not limited to deposit accounts, loans, online banking, mobile banking, and any other financial services we provide.
Binding Agreement
By opening an account, applying for a service, or using any of our banking services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all other applicable agreements and disclosures.
Changes to Terms
We may modify these Terms at any time. When we make changes, we will:
- Post the updated Terms on our website with a new effective date
- Provide notice of material changes at least 30 days before they become effective
- Notify you through your account or via email for significant changes
- Allow you to reject changes by closing your account before the effective date
Your continued use of our services after changes become effective constitutes your acceptance of the modified Terms.
Account Requirements
To open and maintain an account with bronclear, you must meet the following requirements:
Eligibility Criteria
- You must be at least 18 years of age (or the age of majority in your jurisdiction)
- You must be a U.S. citizen or legal resident with a valid Social Security Number or Tax ID
- You must provide accurate and complete information during the application process
- You must pass our identity verification and security checks
- You must not be prohibited from opening an account under applicable laws or regulations

• Social Security Number or Individual Taxpayer Identification Number

Account Verification
We reserve the right to verify any information you provide and may request additional documentation. We may use third-party services to verify your identity and eligibility.
Prohibited Activities
Accounts may not be used for illegal activities, money laundering, terrorist financing, or any activity that violates applicable laws or regulations. We reserve the right to refuse service to anyone at our sole discretion.
Account Use
Your account may be used for personal, family, or household purposes only, unless specifically designated as a business account. The following terms govern your use of the account:
Authorized Users
You are responsible for all transactions initiated by you or anyone you authorize to use your account. You must:
- Keep your account credentials secure and confidential
- Notify us immediately if you suspect unauthorized access to your account
- Not share your login credentials with anyone
- Ensure all authorized users understand and comply with these Terms
Transaction Limits
We may impose transaction limits on your account for security and regulatory purposes. These limits may include:

Account Statements
You are responsible for reviewing your account statements promptly. You must notify us of any errors or unauthorized transactions within 60 days of the statement date. Failure to do so may limit your ability to recover funds.
Fees & Charges
We may charge fees for certain services and transactions. All applicable fees will be disclosed in our Fee Schedule, which is incorporated into these Terms by reference.
Fee Types
- Monthly maintenance fees (may be waived if certain conditions are met)
- Overdraft and NSF (non-sufficient funds) fees
- ATM fees for out-of-network withdrawals
- Wire transfer fees (domestic and international)
- Stop payment fees
- Account research and statement copy fees
- Early closure fees (if applicable)
Fee Changes
We reserve the right to change our fees at any time. We will provide notice of fee changes as required by law, typically at least 30 days before the changes take effect.
Fee Payment
Fees will be deducted from your account automatically. If there are insufficient funds to cover fees, your account may become overdrawn, and additional fees may apply.
Fee Disclosure
For a complete list of all fees and charges, please refer to our Fee Schedule available on our website or by contacting customer service. Fees are subject to change with proper notice.
Electronic Communications
By opening an account, you consent to receive all communications from us electronically. This includes:

System Requirements
To receive electronic communications, you must have:
Minimum Technical Requirements

• A web browser that supports 128-bit encryption
• PDF reader software (for statement access)
• Sufficient storage to retain electronic records
Withdrawal of Consent
You may withdraw your consent to electronic communications by closing your account. However, certain communications may still be provided electronically as required by law.

We are committed to protecting your privacy and the security of your information. Our Privacy Policy, incorporated herein by reference, describes how we collect, use, and protect your information.

Liability for Unauthorized Transactions
Your liability for unauthorized transactions depends on how quickly you report them. Under Regulation E, your liability is limited if you report unauthorized transactions within specified timeframes.
Security Breach Notification
In the event of a security breach that may have compromised your information, we will notify you as required by law. We will also provide information about steps you can take to protect yourself.
Liability Limitations
Our liability to you is limited as described in this section. Please read these limitations carefully.
Service Availability
We strive to provide continuous, uninterrupted service but cannot guarantee that our services will always be available. We are not liable for:
- Temporary service interruptions due to maintenance or upgrades
- Service disruptions caused by factors beyond our control
- Delays in processing transactions due to system issues
- Inability to access services due to your equipment or internet service
Limitation of Damages
To the maximum extent permitted by law, our total liability to you for any claims arising from these Terms or your use of our services shall not exceed the total fees you paid to us in the six months preceding the claim.
Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, labor disputes, government actions, or technical failures.
Dispute Resolution
Any disputes arising from these Terms or your use of our services will be resolved as described in this section.
Informal Resolution
Before initiating formal dispute resolution proceedings, you agree to attempt to resolve the dispute informally by contacting our customer service department.
Arbitration Agreement
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of our services shall be resolved by binding arbitration, rather than in court.
Arbitration Details
• Arbitration will be conducted by the American Arbitration Association (AAA)
• The arbitration will be conducted in English
• The location will be in the state where your account is domiciled
• Each party will bear its own arbitration costs, unless the arbitrator decides otherwise
• The arbitrator's decision will be final and binding
Class Action Waiver
You agree to resolve disputes on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Legal Rights
This arbitration agreement does not prevent you from filing a complaint with regulatory agencies, such as the Consumer Financial Protection Bureau (CFPB) or your state's banking regulator.
Termination
Either party may terminate these Terms and close your account as described below.
Termination by You
You may close your account at any time by:
- Visiting a branch location (if applicable)
- Contacting customer service by phone
- Submitting a written request
- Using our online account closure feature (if available)
Termination by Us
We may close your account or terminate these Terms at any time, with or without cause, by providing notice to you. We may close your account immediately without notice if:
Immediate Termination Reasons
• You violate these Terms or any applicable laws
• You provide false or misleading information
• You engage in fraudulent or illegal activities
• Your account poses a security risk
• Required by law or court order
Effects of Termination
Upon termination:
- Your right to use our services immediately ceases
- You must pay all amounts owed to us
- We will return any remaining funds in your account (minus any fees or charges)
- Certain provisions of these Terms will survive termination
General Provisions
These general provisions apply to the entire agreement between you and bronclear.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles.
Entire Agreement
These Terms, together with our Privacy Policy, Fee Schedule, and any other agreements specifically referenced herein, constitute the entire agreement between you and bronclear regarding your use of our services.
Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent possible, and the remaining provisions shall remain in full force and effect.
Assignment
You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without your consent in connection with a merger, acquisition, or sale of assets.
Agreement Acceptance
By using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms, please do not use our services.
